Beta Tester Agreement

1. Beta Program Overview

You have been invited to participate in the Musiply private beta program. The beta program provides early access to the Musiply platform in exchange for your feedback and testing.

This Beta Tester Agreement supplements the Terms of Service and Privacy Policy. In the event of a conflict between this agreement and those documents, this agreement takes precedence for matters related to the beta program.

2. Beta Tester Responsibilities

As a beta tester, you agree to:

• Use the platform in your real music production workflows where possible, to help us understand real-world usage patterns.
• Report bugs, issues, and usability problems through the in-app feedback widget or by emailing support@musiply.com.
• Provide honest feedback about features, workflows, and the overall experience.
• Understand that beta software may contain bugs, incomplete features, and may experience occasional downtime.

3. Confidentiality and Non-Disclosure

You agree NOT to:

• Share screenshots, screen recordings, or descriptions of the Musiply interface with anyone outside the beta program without prior written consent from Musiply.
• Disclose features, capabilities, or limitations of the platform publicly — including on social media, forums, blogs, or in press and media communications.
• Share your beta access credentials with any other person.
• Reverse engineer, copy, or replicate any aspect of the platform's design, functionality, or technology.

You MAY:

• Discuss your general experience with Musiply in private conversations (e.g., "I'm testing a new cue management tool") without disclosing specific features or interface details.
• Share feedback directly with the Musiply team through official channels.
• Recommend that colleagues request beta access through official channels.

Duration and exceptions

This confidentiality obligation remains in effect during the beta period and for two (2) years after the beta program ends or your participation concludes, whichever comes first.

Confidential Information does not include information that: (a) becomes publicly available through no fault of yours; (b) was already known to you before participating in the beta, as demonstrated by written records; or (c) is independently developed by you without reference to Musiply's Confidential Information.

4. Intellectual Property

Your participation in the beta program does not grant you any ownership rights in Musiply or its technology.

• Feedback, suggestions, and ideas you provide may be used by Sonic Moviola Inc. to improve the platform without compensation or attribution.
• By providing feedback, you assign all intellectual property rights in that feedback to Sonic Moviola Inc.
• Your own music, project data, and creative work remain entirely your property.

5. No Warranty

The beta platform is provided "as is" and "as available." Sonic Moviola Inc. makes no warranties regarding the reliability, accuracy, or fitness for any particular purpose of the platform during the beta period.

Data loss may occur. You are responsible for maintaining your own backups of any critical data you upload to the platform during the beta.

6. Beta Pricing and Future Plans

• Access during the beta period is free of charge.
• Beta testers may receive special pricing when Musiply launches commercially, as communicated separately.
• Pricing details and feature availability are subject to change and are considered Confidential Information under Section 3.

7. Termination

Either party may end participation in the beta program at any time, for any reason.

• Upon termination, your confidentiality obligations under Section 3 continue for two (2) years.
• Your data will be handled in accordance with the Privacy Policy.
• To end your participation, you may delete your account or contact us at support@musiply.com.

8. Limitation of Liability

Sonic Moviola Inc.'s total liability for any and all claims arising from or related to the beta program shall not exceed $100 USD.

In no event shall Sonic Moviola Inc. be liable for lost profits, data loss, business interruption, or any indirect, incidental, or consequential damages related to your participation in the beta program.

9. Governing Law

This Beta Tester Agreement is governed by and construed in accordance with the laws of the State of California.

Any disputes arising from or related to this agreement shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

10. Entire Agreement

This Beta Tester Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Sonic Moviola Inc. regarding your use of Musiply during the beta period.
