Terms of Service

1. Agreement to Terms

By creating an account on or using the Musiply platform, you agree to be bound by these Terms of Service. Musiply is operated by Sonic Moviola Inc., a company incorporated in the State of California.

You must be at least 18 years of age to use the platform. By agreeing to these terms, you represent and warrant that you meet this age requirement.

2. Description of Service

Musiply is a SaaS platform designed for managing music workflows in film, television, and game production. The platform includes the following core modules:

• Cue Manager — Project, cue, and version tracking with status management, notes, and collaboration tools.
• Music Catalog — A track library with licensing metadata, search, and filtering capabilities.
• Composer CRM — Composer contacts, contracts, and communications management.

The service is currently in private beta. Features, interfaces, and functionality may change at any time as we continue to develop the platform.

3. Account Registration

Access to Musiply is by invitation only during the beta period. If you have received an invitation, the following conditions apply:

• You are responsible for maintaining the confidentiality and security of your account credentials.
• Each invitation is for a single individual. Do not share your login credentials with others.
• You must provide accurate and complete information during registration.
• You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree to use Musiply only for lawful purposes directly related to music production workflows. You agree not to:

• Attempt to reverse engineer, decompile, disassemble, or extract source code from the platform.
• Use automated tools, scrapers, or crawlers to access or collect data from the platform.
• Upload malicious files, malware, or content that infringes on the intellectual property rights of others.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use the platform in any manner that could damage, disable, or impair the service.

5. Intellectual Property

The Musiply platform — including its name, logo, visual design, user interface, and underlying technology — is the intellectual property of Sonic Moviola Inc. All rights are reserved.

Your content — including music files, cue data, project information, notes, and metadata — remains your property. By uploading content to Musiply, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you.

We will never sell your content or use it for any purpose outside of operating and improving the Musiply platform for your benefit.

6. Data and Content

You retain full ownership of all music, metadata, cue sheets, and project data you upload to Musiply. We do not claim any rights over your creative work.

You represent and warrant that you have the necessary rights and permissions to upload any content you submit to the platform.

7. Service Availability

Musiply is provided "as is" during the beta period. While we strive to maintain a reliable service, we do not guarantee 100% uptime or uninterrupted access.

We may modify, suspend, or discontinue features or portions of the platform with reasonable notice. We will make every effort to notify you in advance of material changes.

8. Limitation of Liability

To the maximum extent permitted by law, Sonic Moviola Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Musiply.

Our total aggregate liability for any claims arising from or related to the service shall not exceed the total amount you paid for the service in the twelve (12) months preceding the claim.

During the free beta period, the service is provided without warranty of any kind, whether express or implied.

9. Termination

You may delete your account at any time by contacting us or through the platform's account settings.

We reserve the right to suspend or terminate accounts that violate these Terms of Service, with notice where practicable.

Upon account termination, your data will be retained for 30 days to allow for recovery, after which it will be permanently deleted.

10. Changes to Terms

We may update these Terms of Service from time to time. We will provide at least 30 days' notice of material changes via the email address associated with your account.

Your continued use of Musiply after the effective date of any changes constitutes your acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any disputes arising from or related to these terms or the use of Musiply shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
